Overclocking an E6420 on a GA 945P DS3 mobo - help needed

I don't know much about overclocking, but I've been following guides and have been getting tips to help me. I've been seeking help from another forum so far. After going through the guides, I have changed the following options:

 

Advanced BIOS settings

CPUID Max 3: disabled

no-execute memory protection: disabled

C1E: disabled

TM2: disabled

E1ST: disabled

Virtulization Technology: disabled

 

Health Status

CPU Smart fan control: disabled

 

MB Intelligent Tweaker (MIT)

CPU host freq: 297

PCI express freq: 100

CIA 2: disabled

System memory multiplyer: 2

RAM: 5-5-5-15

DDR overvoltage: +0.2

FSB overvoltage: +0.2

CPU voltage: 1.35

 

Basically, I've managed to OC my E6420 to 2.37ghz, but can't seem to get it any higher. If I raise the CPU host frequency above 297, it resets the processor back to default settings upon restart. Even if I raise the CPU voltage and/or overvoltage, it doesn't work. I have no idea why it does this, as I've read that others have managed to OC thier E6420's beyond what I've got, with the same hardware.
